（一）甲方的权利与义务
(A)PartyA'srightsandobligations

1、要求乙方选派合格的设计人员进行施工图设计。

2、要求乙方按合同约定提供合格的施工图文件。
2.RequirePartyBtosubmitthedrawingdocumentsofqualifiedconstructionpursuanttothecontract.

3、要求乙方对不符合工程建设强制性标准、规范和约定要求的设计文件限期整改；不得要求乙方违反国家法律、法规和有关工程设计规范、标准进行设计。
3.RequirePartyBtorectify,withinadefinitetime,thedesigndocumentswhichfailtoconformtothemandatorystandards,normsandagreedrequirementsofengineeringconstruction;andshallnotrequirePartyBtodesigninviolationofState’slaws,regulationsandrelevantengineeringdesignnormsandstandards.

4、及时向乙方提供有关工程设计所需的基础资料（包括初步设计文件资料、设计任务书、用地红线图与地形图、政府有关批文与规定），并对所提交资料及文件的完整性、正确性及时效性负责。
4.Provide,withoutanydelay,PartyBwiththebasicinformationrequiredfortheengineeringdesign(includingpreliminarydesigndocuments,designmissionstatement,redlinemapandtopographicmapofthesite,relevantgovernmentapprovalsandregulations),inadditiontoberesponsibleforthecompleteness,correctnessandtimelinessofthesubmittedinformationanddocuments.

5、组织对施工图设计的会审，根据评审结论要求乙方进行完善补充。
5.Organizethemeetingreviewoftheconstructiondrawingdesign,andrequestPartyBtoimproveandsupplementunderthereviewconclusion.

（二）乙方的权利与义务
(A)PartyB'srightsandobligations
?
1、按国家规定和约定的设计标准、规范、规程、定额进行工程设计，严格审核设计文件，并按约定的进度、质量交付设计文件。
1.TocarryouttheengineeringdesigninaccordancewithState’sregulationsandtheagreeddesignstandards,norms,regulationsandquotas,strictlyexaminethedesigndocuments,inadditiontodeliverthedesigndocumentspursuanttotheagreedscheduleandquality.

2、按照设计任务书所规定的内容和深度进行设计，不得随意更改设计内容和另立项目重复收费。
2.Tocarryoutthedesigninaccordancewiththecontentanddepthstipulatedinthedesignmissionstatement,anddonotchangethedesigncontentandrepeatthechargesatwillbyreasonofanotherproject.

3、设计工作不得超越设计资质证书规定的等级和业务范围。
3.Thedesignworkshallnotexceedthelevelandbusinessscopespecifiedinthedesignqualificationcertificate.

4、委派相关专业的设计人员参加施工图设计的会审、协调会议以及工程验收工作，并及时完善和优化设计方案。
4.Todesignaterelevantprofessionaldesignerstoparticipateinthereviewofconstructiondrawingsanddesign,coordinationmeetings,andacceptanceoftheproject,inadditiontoimproveandoptimizethedesignwithoutanydelay.

5、根据甲方要求委派现场设计代表进行设计交底，配合解决施工过程中有关设计的疑难?问题。
5.Todesignatetheon-sitedesignrepresentativeforthedisclosureofthedesigninaccordancewithPartyA’srequirements,andcooperatetosolvethedifficultproblemsrelatedtothedesignintheconstructionprocess.

五、设计变更
Article5.Designamendment
?
1、甲方因下列原因可以进行设计变更，或者对所提交的基础资料作较大修改，乙方的设计人员应及时按照甲方的变更要求修改设计、出图。如果因变更造成乙方设计文件交付日期延误的，交付期相应顺延，需返工修改设计的，甲方应按乙方实际工作量支付相应费用。
1.PartyAcanmakedesignamendmentsormakelargemodificationstothesubmittedbasicinformationforthefollowingreasons,PartyB'sdesignersshould,withoutanydelay,modifythedesignanddrawingsunderPartyA'schangerequirements.WherethedeliverydateofPartyB'sdesigndocumentsisdelayedduetoamendments,thedeliveryperiodshallbepostponedaccordingly,andPartyAshalleffectpaymentofthecorrespondingcostsinaccordancewithPartyB'sactualworkloadwherethedesignneedstobereworkedandmodified.

（1）超出设计任务书范围变更设计项目、规模、标准、条件；
(1)Theamendmentsofthedesignproject,scale,standardandconditionsbeyondthescopeofthedesignassignment;

（2）提交的基础资料错误并作较大修改；
(2)Submissionofincorrectbasicinformationwithmajormodifications;

2、乙方因下列原因可以进行设计变更，因变更增加的设计费用由乙方承担。
2.PartyBmaymakedesignchangesforthefollowingreasons,andthedesigncostsincreasedtherebyshallbebornebyPartyB.

（1）设计质量不符合技术标准、规范和约定要求的；
(1)Thedesignqualityfailstomeetthetechnicalstandards,specificationsandagreedrequirements;

（2）设计遗漏、错误、设计深度不够。
(2)Omission,error,insufficientdesigndepthofdesign.

（3）在设计任务书范围内，由于乙方原因导致需优化设计方案。
(3)Theoptimizethedesignschemeshall,withinthescopeofDesignAssignment,bemadeduetoPartyB'sreasons.

八、违约责任
Article8.Liabilityforbreachofcontract
?
1、甲方未按期提供有关基础资料，致使乙方无法进行设计的，设计文件交付日期相应顺延。
1.FailureofPartyA’sprovisionoftherelevantbasicinformationontime,whichresultinginPartyBbeingunabletoconductthedesign,thedeliverydateofthedesigndocumentsshallbepostponedaccordingly.

2、甲方无正当理由逾期支付设计费，每逾期一日，按银行同期贷款利率向乙方支付违约金。
2.FailureofPartyA’spaymentofthedesignfeeontimewithoutjustifiablereasons,PartyAshallpayliquidateddamagestoPartyBforeachdayoflatepaymentatthebank'slendingrateforthesameperiodoftime.

3、乙方未按期交付设计文件及有关资料的，每逾期一日，乙方应向甲方支付设计费‰的违约金（甲方可在设计费中扣除）。
3.FailureofPartyB’sdeliveryofthedesigndocumentsandrelevantinformationontime,PartyBshallpaytoPartyAtheliquidateddamagesoffromthedesignfee‰ofthedesignfeeforeachdelayedday（whichmaybedeductedbyPartyAfromthedesignfee）.

4、乙方交付的设计文件不符合约定质量和规范要求的，乙方应向甲方支付设计费%的违约金（甲方可在设计费中扣除）。
